Welcome to Expenfy, operated by A2GROUP LLC, located at 5830 E 2ND ST STE 700 16007 CASPER WY 82609. By using the website located at expenfy.app, the related mobile website, and the mobile application (collectively, the "Websites" and "Service"), you agree to be bound by these Terms of Service (this "Terms of Service" or "Agreement"), whether or you register as a member of Expenfy ("Member"). If you wish to become a Member and/or make use of the Service, please read this Agreement. If you object to anything in this Agreement or the Expenfy Privacy Policy, do not use the Service.

This Agreement is subject to change by A2GROUP LLC at any time, effective upon posting on the relevant website. Your continued use of the Websites and the Service following the posting of revised terms will constitute your express and binding acceptance of and consent to the revised Agreement.

PLEASE READ THIS AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

1. Electronic Agreement

This Agreement is an electronic contract that sets out the legally binding terms of your use of the Websites and the Service. This Agreement may be modified by A2GROUP LLC from time to time, such modifications to be effective upon posting by A2GROUP LLC on the Websites. By accessing and/or using the Websites or becoming a Member, you accept this Agreement and agree to the terms, conditions, and notices contained or referenced herein.

2. Access and Retention

In order to access and retain this electronic Agreement, you must have access to the Internet and use all necessary equipment to make such connection. Please print a copy of this document for your records. To retain an electronic copy of this Agreement, you may save it to any word processing program.

3. Commercial Use of Service

If you are using the Service on behalf of a company or entity, you represent that you are an authorized representative of the entity and have the authority to bind the entity to this Agreement.

4. Account Security

You are responsible for maintaining the confidentiality of your account login details and are fully responsible for all activities that occur under your account. While Expenfy operates primarily offline and stores data locally on your device, you are responsible for securing your device and any account credentials used to access premium features or subscriptions.

5. In-App Purchases and Subscriptions

The Service may offer auto-renewable subscriptions within the app. By subscribing, you agree to the following:

  • Title of the subscription: The title of the auto-renewable subscription will be clearly indicated in the app at the point of purchase (e.g., "Expenfy Pro Monthly" or "Expenfy Pro Annual").
  • Length of the subscription: The subscription may be offered on a monthly or annual basis, depending on the options provided within the app.
  • Price: The price for the subscription will be clearly displayed before purchase, and you agree to pay the price specified at the time of purchase. The subscription price is subject to change, and any changes will be communicated to you in advance.
  • Auto-renewal: Subscriptions are automatically renewed unless you turn off auto-renewal at least 24 hours before the end of the current subscription period. You may manage your subscription and auto-renewal settings through your account settings in the App Store or Google Play Store.
  • Cancellation: You can cancel your subscription at any time through your account settings. However, you will not be refunded for any unused portion of the current subscription period.
  • Privacy and Terms: You must review and agree to our Privacy Policy and Terms of Use before subscribing. Your data will be processed in accordance with these policies.

Important: Expenfy App Data Privacy

The Expenfy iOS application operates with a privacy-first approach:

  • Offline Operation: The Expenfy app works completely offline. All expense data, transactions, and financial information are stored locally on your device.
  • No Data Collection: We do not collect, transmit, or store your expense data, financial information, or transaction history. Your data never leaves your device unless you explicitly choose to export it.
  • No Bank Connections: Expenfy does not require or support bank account connections, ensuring complete privacy and control over your financial data.
  • Subscription Management: Subscription purchases and renewals are handled entirely through Apple's App Store or Google Play Store. We do not store your payment information.

6. Modifications to Service

A2GROUP LLC reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that A2GROUP LLC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

7. Termination

A2GROUP LLC reserves the right to terminate your membership at any time for any breach of this Agreement. Upon termination, your right to use the Service will cease immediately. You may also terminate your use of the Service at any time by uninstalling the application. Note that uninstalling the application will delete all locally stored data on your device.

8. Limitation of Liability

To the fullest extent permitted by law, A2GROUP LLC is not liable for any damages arising from your use of the Websites or Service, including direct, indirect, incidental, or consequential damages. This includes, but is not limited to, any loss of data, financial loss, or damages resulting from the use or inability to use the Service. Since Expenfy stores data locally on your device, you are responsible for backing up your data. A2GROUP LLC is not responsible for any data loss resulting from device failure, loss, or theft.

9. Indemnity

You agree to indemnify and hold harmless A2GROUP LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of this Agreement, or infringement of any rights of another party.

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to this Agreement or the Service will be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law. The arbitration will take place in Wyoming, and you agree to submit to the personal jurisdiction of the courts located in Wyoming for the purpose of enforcing any arbitration award.

11. Intellectual Property

The Service, including its original content, features, and functionality, is owned by A2GROUP LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of the Service.

12. User Content and Data

You retain all ownership rights to your expense data and any content you create using the Service. By using the Service, you grant A2GROUP LLC a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Service. As stated throughout this Agreement, Expenfy operates offline and does not transmit your expense data to our servers. Your data remains on your device under your control.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. A2GROUP LLC does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
